Terms of service
- One license runs UniKDS on one screen at one venue. It is yours outright, with no subscription and no renewal.
- Your Uniwell dealer installs and supports your screens, and we support your dealer.
- A trial runs for 30 days, then locks until it is converted to a license.
- Your order data stays yours. A paid license keeps working without the internet.
About these terms
These terms are between mypreorder Pty Ltd (ABN 87 611 967 376), which makes UniKDS, and the business that activates UniKDS on a screen (“you”). You accept them when you activate a license.
You bought UniKDS from a Uniwell dealer. Your dealer’s own terms cover what the dealer sells and does for you, such as the screen, installation and support. These terms cover the UniKDS software itself.
What you are buying
A license to use UniKDS on one screen. You buy the software; the screen is yours to choose and yours to own.
The license is perpetual. You pay once. There is no subscription, no renewal and no expiry.
What the license allows
- Using UniKDS on one screen at a time, at the venue it was activated for.
- Moving it to a replacement screen at the same venue if the original is lost, damaged or replaced. This is what moving a license is for.
- Running as many screens as you like, each with its own license.
What it does not allow
- Using one license on more than one screen at the same time.
- Moving a license to a different venue yourself, including another venue you own. A license belongs to the venue it was activated for. If you close one venue and open another, ask your dealer and it can usually be moved, but the license does not entitle you to it.
- Moving a license to a different business.
- Copying, decompiling, reverse engineering or modifying the software, except where the law says you may.
- Reselling or sublicensing it, unless you are an authorized Uniwell dealer or distributor.
Trials and demonstrations
A trial license runs every feature at your venue for 30 days from activation. When the 30 days end, the screen locks until the trial is converted to a paid license, whether or not it is online. Converting it keeps the screen’s orders and settings.
A demonstration license is for a dealer’s own showroom or stand, and must not be used in a working kitchen. A demonstration screen pauses if it has not connected to the internet for 7 days, and resumes when it connects.
Trial and demonstration screens are marked as such on screen and on anything they print.
Activation and the internet
A license is activated online once. After that, a screen with a paid license works on your own network and does not need an internet connection.
We may check a license when a screen is online. We will not disable a validly licensed screen.
Updates
Updates are included at no extra cost.
We provide updates for as long as we support the device and operating system you are running, and for as long as the technologies UniKDS is built on continue to support them. We cannot guarantee that features added in future will run on every device, operating system version or license type. Older hardware may reach a point where it runs the version it has but not the next one.
Your license does not expire when that happens. The screen carries on working with the version it has.
Support
Your Uniwell dealer is your first point of contact, in your own language and time zone. Your dealer can see your screens’ status and settings, and can change them remotely. Your dealer is supported by its distributor, and the distributor by us.
Setup guides are free for everyone at help.unikds.com.
What the software does not do
UniKDS displays the orders your point-of-sale system sends it. It does not take payments, manage stock or hold your menu.
It depends on your own network and on your POS working correctly. We are not responsible for either.
Your responsibilities
- Keep your screens and network reasonably secure, and your staff PINs private.
- Make sure what your POS puts on kitchen dockets meets your own privacy obligations.
- Use the software lawfully.
Your data
Your order data is yours. How we handle it is set out in our privacy policy. Where the EU or UK GDPR applies to you, our data processing agreement forms part of these terms.
You can ask for an export of your data, or for it to be deleted, at any time.
If something goes wrong
We provide UniKDS with the guarantees the law requires and does not allow us to exclude. Nothing in these terms limits a right you have under the law of your country that cannot be excluded.
Where the law allows, our liability for a fault in the software is limited to fixing it, replacing it, or refunding what was paid for the affected license. We are not liable for lost profits, lost revenue or business interruption.
Keep a way to run service without the screen. Your POS can still print to a kitchen printer, and we recommend keeping that option available.
If the license ends
Your license continues unless you seriously breach these terms. If it ends, you must stop using the software. Your order data remains yours and we will provide an export on request.
Changes to these terms
We may update these terms. Each version is published here with its date, and earlier versions remain available. A change will not remove rights you have already paid for under a perpetual license.
Governing law
These terms are governed by the law of Western Australia, Australia. If you are in another country, its consumer laws still apply to you where they cannot be excluded.
